TERMS & CONDITIONS

OVERVIEW AND KEY TERMS
Boiler Room (UK) Limited, a company incorporated and registered in England and Wales with company number 06562273 whose registered office is at Elsley Court, 20-22 Great Titchfield Street, London, United Kingdom, W1W 8BE (“Boiler Room”) presents the Broadcast Lab grant. Boiler Room’s Broadcast Lab grant is looking for innovative programming concepts and line-ups that widen the circle by prioritising underrepresented artists, community and collaboration. Boiler Room will provide a monetary fund (the “Fund”) of up to £10,000 per successful applicant for allocation in respect of holding a recorded event (the “Event”).
These terms and conditions (the “Ts & Cs”) set out how the Fund will work and how to apply for the Fund as an applicant (“Applicant”).
You should read these Ts & Cs in full. If you apply for the Fund you confirm that you accept these Ts & Cs in full and that you will continue to comply with them for as long as you are an Applicant (including if you are a successful Applicant). Please note in particular the following points:
● You are being offered the chance to apply for the Fund because of your interest and/or involvement in music.
● Applications will close at 23:59 GMT on 10.03.2025
● By applying for the Fund, you are not obliged to continue as an Applicant and have the right to withdraw at any time.
● Boiler Room reserves the right to withdraw the Fund at any time and where such withdrawal is likely to occur Boiler Room shall provide reasonable notice to the applicable Applicants.
● If you are successful, you will be required to enter into a further agreement with Boiler Room (the “Production Agreement”).
● By applying you confirm that in the event that you are selected as a successful Applicant you will provide Boiler Room with such reasonable information requested relating to the Event (including but not limited to) details of press coverage and the social media reach and engagement numbers.
● You also confirm by entering that you agree to be solely responsible for any taxes and duties which may arise and be payable in respect of payment of the Fund if your Application is selected. You acknowledge and agree that Boiler Room will have no liability in this regard.
● The winning show must take place a minimum of 6 weeks after the deadline and within the quarter.

ELIGIBILITY
The Fund is open to applications from:
individual musicians (aged 18 or over)
collective of musicians (aged 18 or over)
The Fund is not open to applicants who have alcohol and/or drug-related medical issues or alcohol and/or drug-related criminal records.
Applicants must be wanting to use the Fund to curate & organise a recorded event.
Applicants confirm that by applying for the Fund they acknowledge that they may be asked to participate in content aimed at promoting the Fund, which may include the use of their name and country of residence which may feature on Boiler Room’s website, Facebook, Twitter and Instagram accounts or otherwise as determined by Boiler Room.
Applicants confirm that they agree that any and all promotional material associated with the Event will include credit to Boiler Room Broadcast Lab and include logos provided by Boiler Room
If at any stage Boiler Room is informed or discovers that you do not meet the criteria set out in these Ts & Cs or that you did not follow the instructions set out in the application form sent to you, the Fund may disqualify you as an Applicant with immediate effect. In this event, any payment made to you by Boiler Room must be returned in full.
By applying to join the Fund you agree to be bound by the Ts & Cs set out below. Applicants may also be required to provide a signed copy of the Ts & Cs upon request by Boiler Room.

THE ENTRY PROCESS
Anyone interested in applying for the Fund should complete and submit the application form at https://boilerroom.tv/article/broadcast-lab-11 with any other details relevant to their
application (the “Entry” or “Entries”).
The Entry should provide details about the Applicant and any other persons involved, the concept of the Event together with a breakdown of anticipated costs and how the Fund will be used.
All Entries must be submitted by 23.59 GMT on 10.03.2025 (the “Closing Date”) and are limited to one (1) Entry per Applicant to be considered valid.
A representative from Boiler Room may contact you to clarify certain answers on the application form.

THE SELECTION PROCESS
All valid Entries to the Fund received by or before the Closing Date will be assessed by Boiler Room against the details on the Entry.
All applications will be reviewed by three members of staff from Boiler Room and three independent curators. All Entries will be reviewed and assessed on the following criteria (the “Judging Criteria”):
The extent to which the Entry fuels the motivation to make a positive change in the music scene;
The positive impact the Fund will have on the Applicant in improving their personal skills and level of experience as music creators, artists and broadcasters;
The extent the Entry supports an underground music or club subculture;
The extent the Entry brings together artists and the wider music community and is welcoming and inclusive; and
The extent to which the Entry is unique, innovative exciting.
Entries will be scored for each of the above criteria on a scale of 1 – 5.
Boiler Room will select approximately 5 Entries who gained the highest scores (the “Shortlist”).
The 5 Entries selected from the Shortlist will be reviewed and considered by Boiler Room and the independent curators. 1 Entry will be selected as being successful (the “Recipient(s)”). The Recipient(s) shall be notified around 27th March 2025 and shall be notified as to the amount of the Fund payable to them (“Payable Fund”). Such decision by Boiler Room will be final.
The Recipient will be required to enter into a contract with Boiler Room in respect of the Event. Where the Recipient fails or refuses to enter into a contract with Boiler Room when required to do so by Boiler Room the Recipient will no longer be considered eligible for the Fund and Boiler Room may allocate the Fund to an alternative Applicant.
Any Entry that is found, at any time during this selection process, not to fully comply with these Ts & Cs may be disqualified. Boiler Room shall have final determination as to which individuals are eligible to become an Applicant and no correspondence will be entered.

HOW THE FUND WILL WORK
Once a Recipient is selected, Boiler Room will meet with the Recipient to discuss the Proposal in further detail (“Introduction”).
Following the Introduction, Boiler Room will determine what needs are required for the project and will allocate a main point of contact from Boiler Room for the Recipient.
A minimum of thirty-five (35%) of the Payable Fund be allocated to artist fees for the Event.
Following the Introduction and subject to the Promoters being satisfied that the Entry complies with the requirements specified in these Ts & Cs and the Recipient will be able to deliver the Event specified in the Entry, the Recipient will be entitled to receive fifty per cent (50%) of the Payable Fund. [Such sum shall be payable within 60 days of Boiler Room notifying the Recipient that they have been selected and the Event has been approved].
A further forty (40%) of the Payable Fund shall be payable no later than one (1) week before the Event.
The final ten (10%) of the Payable Fund shall become payable upon successful completion of the Event. Such sum must be paid within sixty (60) days of successful completion of the Event.
The Payable Fund must include all production costs including (but not limited to) artist fees, equipment hire, and scene production.
In addition to the Fund, the Recipient will receive advice and support from Boiler Room in relation to their Event including (but not limited to) programming, event production, budget management, and promotional materials. The Recipient will be entitled to 4 virtual meetings with a representative from Boiler Room to discuss the project. This will include mentorship from the Fund coordinator and weekly meetings from core members of Boiler Room. Such members shall assist in specific areas in which the Recipient needs assistance.
The Recipient shall receive the sums set out above in the £ Sterling currency less any amounts required to be deducted as a result of fluctuations, transfer fees and currency conversions from Boiler Room. Boiler Room shall not be responsible for any further sums.

CONFIDENTIALITY
Some information sent to you may be confidential. This means that you should not share the contents of the information with anyone outside of your immediate family/ partner etc. without the prior consent of or instruction from Boiler Room.

CONFIRMATION OF ELIGIBILITY APPROPRIATE BEHAVIOUR
By applying to the Fund you confirm that:
you will not act in any way or do anything that may (in the sole discretion of Boiler Room) bring Boiler Room into disrepute or damage the reputation of Boiler Room in any way;
your proposal and Event will not promote irresponsible or excessive alcohol consumption; and
your proposal and Event will be welcoming and inclusive of all.

DATA PROTECTION
Any information or material submitted by you during the selection process or during the operation of the Fund will be deemed not to be confidential or secret. Boiler Room will not, publicly share any personal information submitted by you without your consent.
Boiler Room will collect and process (including, for the avoidance of doubt, sharing with their affiliate companies) any personal data collected as part of the application entry process and the operation of the Fund in accordance with Boiler Room’s privacy policy available at https://boilerroom.tv/page/privacy-policy/. Subject to any marketing consents given by you, Boiler Room only process such personal data for the purposes of running the Fund.
By applying for the Fund, you confirm that you:
consent to the processing of any personal data you provide during the application process or throughout your engagement in the Fund in accordance with this clause; and
you have obtained the consent from, and will continue to obtain consent from, any individuals whose personal data you submit either during the application process or as an Applicant.

MARKETING AND PROMOTION
By applying for the Fund you agree to comply with this clause should you become an Applicant.
Applicants agree to:
be filmed/ photographed in any market research sessions. Interviews/ other promotional activities determined by Boiler Room; and
participate in any reasonable promotional and publicity activities to be determined by Boiler Room to promote the Fund for advertising, trade and promotional purposes anywhere in the world (“the Promotional Activities”). The Promotional Activities could include but are not limited to use of the Applicant’s name, photograph, voice and/or other likeness.
No payment beyond the Payable Fund (unless otherwise approved in writing in advance by Boiler Room) will be paid to Applicants for their participation in the Promotional Activities and Applicants will have no right of review for any Promotional Activities.

GENERAL CONDITIONS
Boiler Room are not responsible for:
entries or other communications that are misdirected, lost, delayed, damaged or corrupted during delivery to or from Boiler Room due to any computer malfunction, virus, bug, delay, erroneous or any other reason whatsoever;
lost, interrupted or unavailable network, server, telecommunications, Internet Service Provider (ISP), website, or other connections;
computer hardware or software malfunctions, failures or difficulties;
any incorrect or inaccurate information, whether caused by human error, site users, tampering, hacking, or by any equipment or programming associated with or utilised under the Fund;
injury or damage to Applicants’ or to any other person's computer related to or resulting from participating in the Fund or downloading materials from or use of Boiler Room’s website; or
other errors or difficulties of any kind, whether human, mechanical, electronic, computer, network, typographical, printing or otherwise, relating to or in connection with the Fund including, without limitation, errors or difficulties which may occur in connection with the administration of the processing of applications or in any related materials.
Boiler Room and its associated companies, agents, contractors and sponsors, to the fullest extent permitted by law, assume no liability whatsoever for any direct or indirect damage, loss, or any injury suffered by an Applicant or any guest or associate of the Applicant participating in the Fund or as a result of participating in any activities for the Fund or the Event. Nothing shall exclude Boiler Room’s liability for death or personal injury as a result of its negligence.
Boiler Room reserves the right, at its sole discretion:
to suspend, modify or terminate the selection process for the Fund at any time and for any reason;
to amend these Ts & Cs at any time; and
to withdraw the Fund if it cannot be operated as envisaged or cannot be operated as envisaged in these Ts & Cs without disproportionate expense.
By participating in the Fund all Applicants agree that, to the extent permissible under applicable law, Boiler Room, any relevant affiliates, subsidiaries and advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents will have no liability whatsoever for, and shall be held harmless by Applicants against, any liability for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from participation in any aspect of the Fund.

GOVERNING LAW AND JURISDICTION
These Ts & Cs shall be governed by the laws of England and the jurisdiction of the courts of England and Wales.
